Terms of Service

These Terms of Service ("Terms") govern your access to and use of MigrationFox (the "Service"), operated by MigrationFox Inc. ("we", "us", "MigrationFox"), an Ontario, Canada corporation. By creating an account or using the Service, you agree to these Terms.
We've tried to write this in plain English. Where a term has a legal meaning that differs from everyday usage, we call it out. If anything is unclear, email support@migrationfox.com before you sign up.
1. The Service
MigrationFox is a SaaS platform for:
- Cloud migration — moving files, mailboxes, Teams channels, and SharePoint sites between supported cloud storage + collaboration platforms.
- Microsoft 365 governance assessments — read-only scans of a Microsoft 365 tenant that produce a Copilot Readiness score and a prioritized remediation plan.
- InfoPath archival — converting InfoPath form submissions to PDF + metadata before the July 2026 retirement.
The exact feature set and supported platforms evolve; the current list is always on migrationfox.com.
2. Accounts
To use the Service beyond the free tier you must create an account. You are responsible for:
- Providing accurate information at signup (name, email, organization)
- Keeping your password secret; we recommend enabling two-factor authentication
- All activity that happens under your account, including actions by users you invite to your tenant
- Notifying us immediately at support@migrationfox.com if you suspect account compromise
3. Acceptable use
You agree not to:
- Use the Service to migrate or process content you do not have the legal right to process (you must own the content or have the content owner's authorization)
- Reverse-engineer, decompile, or attempt to extract the source code of the Service
- Circumvent rate limits, quota enforcement, or the paid-tier gate on any product feature
- Use the Service to transmit malware, spam, or phishing content
- Upload illegal content, content that infringes third-party rights, or content that violates export-control laws
- Probe, scan, or test the vulnerability of the Service infrastructure without our written consent (coordinated disclosure program coming)
- Resell, sublicense, or white-label the Service except under a written Partner Agreement with us
About the white-label bundle: The M365 Complete Assessment Bundle (CA$1,599) includes a commercial redistribution license for the generated PDF reports — you can deliver those reports to your own paying clients under your branding. It does not grant you the right to resell the Service itself or white-label the MigrationFox platform.
4. Payment
Pricing
All prices are in Canadian Dollars (CAD) unless otherwise stated. Current pricing is published on the Pricing section of our homepage and includes:
- Migration credits — pay-as-you-go (CA$0.50/GB) or bundle packs. Credits don't expire.
- Assessment Suite — CA$399 per single assessment (90-day access, locked to one M365 tenant) or CA$1,599 for the M365 Complete Bundle.
- InfoPath Archive — pay-as-you-go (CA$0.15/form) or credit packs.
- Enterprise — custom annual contracts; contact us.
Billing
Payment is processed by Stripe. Credits and assessment purchases are one-time charges captured at checkout. Subscription plans (if offered) are billed monthly or annually in advance.
Taxes
Prices exclude applicable taxes (GST/HST/PST for Canadian customers, sales tax for US customers, VAT for EU customers where applicable). Stripe collects taxes at checkout based on your billing address.
Refunds
Refund policy:
- Assessment purchases — refundable within 7 days of purchase if no scan has been run against the target tenant yet. Once a scan runs, the assessment is consumed and no refund is available. Partial refunds at our discretion for technical faults that prevented the scan from completing.
- Migration credits — unused credits are refundable within 30 days of purchase. Used credits are not refundable regardless of migration outcome.
- InfoPath credits — same terms as migration credits.
- Subscriptions — cancel at any time; your plan stays active until the end of the current billing period. We do not prorate mid-cycle cancellations.
Email support@migrationfox.com for refund requests. We aim to process within 5 business days.
Non-payment
If a payment fails, we will retry the charge for up to 14 days. During that window paid-tier features continue. After 14 days of failed retries, the account reverts to the free tier and in-flight jobs may be paused.
5. Data ownership
You own your data. MigrationFox is a processor, not a controller, of the content you migrate + the tenant data you scan. We:
- Do not claim any ownership, license, or rights to your content beyond what is strictly necessary to deliver the Service
- Do not use your data to train AI models
- Do not sell, share, or license your data to third parties
- Delete your data on account termination per our Privacy Policy retention schedule
Migration and assessment data flows through our infrastructure only for the time needed to complete the job. Details on what we retain, for how long, and where — see the Privacy Policy.
6. Service level and availability
We aim for 99.5% uptime on the authenticated app (app.migrationfox.com) and 99.9% on the marketing site (migrationfox.com). Scheduled maintenance is announced at least 24 hours in advance via email to account owners.
No formal SLA applies to the free tier. Paid Enterprise plans may include an SLA addendum with service credits for downtime beyond the target.
The Service depends on third-party APIs (Microsoft Graph, Google Drive API, Stripe, etc.). Outages or rate-limit changes by those providers may affect your use of MigrationFox; we route around where we can but cannot guarantee continuous availability when an upstream is degraded.
7. Warranty disclaimer
The Service is provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant that:
- The Service will be uninterrupted, error-free, or perfectly secure
- Every migration will complete without skipped files, metadata differences, or permission remapping
- Assessment findings are a substitute for professional legal or compliance advice
- The Service will meet every requirement a specific regulatory framework may impose on you
We strongly recommend running a Migration Rehearsal before any production migration and reviewing findings against your organization's own compliance standards.
8. Limitation of liability
To the maximum extent permitted by law, MigrationFox's total aggregate liability under these Terms is limited to the greater of:
- The amount you paid to MigrationFox in the 12 months preceding the claim, or
- CA$1,000
We are not liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, or business opportunity), even if advised of the possibility.
These limits do not apply to fraud, gross negligence, or willful misconduct.
9. Indemnity
You agree to indemnify and hold MigrationFox harmless against third-party claims arising from:
- Your violation of these Terms or the Privacy Policy
- Your violation of any law or third-party rights
- Content you migrated, uploaded, or processed through the Service
10. Termination
You can cancel your account at any time from Account settings or by emailing us. Cancellation stops future charges; it does not refund charges already invoiced except under the refund policy in Section 4.
We may suspend or terminate your account if:
- You violate these Terms or the Acceptable Use section
- Payment fails for more than 14 consecutive days
- We're required to by law, court order, or regulatory action
- You use the Service in a way that threatens the security, stability, or legal standing of the platform
We give 7 days' written notice before terminating a paying account for cause unless immediate termination is required (e.g. illegal content, security breach). On termination your data is retained per the schedule in the Privacy Policy.
11. Changes to these Terms
We may update these Terms to reflect new features, legal changes, or business changes. Material changes are announced by email to account owners at least 30 days before taking effect; continued use of the Service after that date constitutes acceptance. Non-material changes (typo fixes, formatting) take effect immediately and are reflected in the "Last updated" date.
12. Governing law and dispute resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or the Service shall be resolved in the courts of Toronto, Ontario, Canada, unless you and we agree in writing to binding arbitration under the Canadian Arbitration Association rules.
If you are a consumer in a jurisdiction with mandatory consumer-protection laws that override this choice of law or forum, those laws apply to you.

14. Entire agreement
These Terms, together with the Privacy Policy and any written Order Form or Enterprise Agreement you've signed with us, constitute the entire agreement between you and MigrationFox regarding the Service and supersede any prior agreements on the same subject. If any provision is held unenforceable, the rest remains in effect.
